LipMemo Terms of Service & Community Guidelines

Welcome to LipMemo (the “Platform”), part of the Tabania family of companies. By accessing or using LipMemo, you agree to these Terms of Service (“Terms”) and Community Guidelines. These Terms govern your use of the Platform, including mobile apps, website, services, features, content, livestreaming, virtual gifts, and integrations (collectively, the “Services”).

If you do not agree to these Terms, do not use the Platform.

1. Eligibility

• You must be at least 13 years old to use LipMemo.
• Users in Australia must be at least 16 years old, and age verification will be required when implemented.
• By using the Platform, you represent and warrant that you meet the age requirements and have the legal capacity to enter into these Terms.

2. Account Registration

• You must create an account to use most features. Provide accurate and up-to-date information.
• You are responsible for maintaining your account credentials and for all activity on your account.
• Account sharing is prohibited.
• LipMemo may suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3. User Content

“User Content” includes videos, music, comments, livestreams, and any material you upload or broadcast.

3.1 Ownership & Licenses

• You retain ownership of your original content.
• By uploading content, you grant LipMemo a non-exclusive, worldwide, royalty-free license to display, distribute, promote, and use your content to operate and promote the Platform.

3.2 Prohibited Content

You may not upload content that:

• Infringes on copyrights, trademarks, or other rights
• Contains pornography, nudity, or sexual exploitation of minors
• Promotes hate, violence, terrorism, or illegal activities
• Harasses, bullies, or threatens others
• Includes misleading information, spam, or scams
• Violates any applicable law or regulation

3.3 Music Uploads

• Only upload music you created or have rights to.
• Copyrighted music owned by others will be removed.
• Violations may result in removal, account suspension, or termination.
• Uploaded music will credit your username to promote your work.

4. Multi-Part Videos (“Parts” Feature)

• Creators can link multiple video segments to form a series.
• Viewers can watch all parts in sequence without searching for additional videos.
• Abuse of the feature to mislead or spam viewers is prohibited.

5. Livestreaming & Virtual Gifts

• Livestreams must comply with these Terms and Community Guidelines.
• Users must be 18+ to receive virtual gifts or payments.
• Fraudulent activity, inappropriate behavior, or unsafe content may lead to account suspension.

6. Community Guidelines

To ensure a safe and engaging community, all users must:

• Treat others with respect and avoid harassment, threats, or hate speech
• Avoid posting illegal, dangerous, or harmful content
• Respect copyrights, trademarks, and intellectual property
• Use music, audio, and media legally and ethically
• Report abuse, spam, or suspicious activity via in-app tools

Consequences: Violations may result in warnings, temporary restrictions, or permanent bans. Severe or repeated violations may lead to legal action.

7. Privacy & Data Use

• Your use of the Platform is also governed by our Privacy Policy.
• LipMemo collects, stores, and uses personal data to operate the Platform, provide personalized experiences, detect abuse, and serve advertising.

8. Intellectual Property Rights

• LipMemo, Tabania, and their affiliates own all rights to Platform software, design, logos, and content not provided by users.
• You may not copy, reproduce, distribute, or create derivative works without permission.

9. Advertising & Promotions

• LipMemo may display personalized or non-personalized ads.
• Creators may participate in promotional campaigns or virtual gifting programs.
• Fraud, manipulation, or artificial inflation of engagement for financial gain is prohibited.

10. Disclaimers & Limitation of Liability

• The Platform is provided “as is” and “as available.”
• Lip Memo is not responsible for user-generated content, third-party links, or interactions between users.
• We do not guarantee uninterrupted service or that the Platform is error-free.
• LipMemo and Tabania are not liable for damages arising from your use of the Platform, except as required by law.

11. Termination & Suspension

• LipMemo may suspend or terminate accounts for violations, inactivity, or other reasons.
• Terminated accounts may lose access to content, virtual gifts, and account history.
• Users may delete their accounts at any time via the app or by contacting support.

12. Governing Law & Jurisdiction

• These Terms are governed by the laws of the United States.
• Users outside the U.S. are responsible for complying with local laws.
• Disputes will be resolved in courts of competent jurisdiction unless alternative dispute resolution is agreed upon.

13. Changes to Terms

• LipMemo may update these Terms at any time.
• Users will be notified of significant changes.
• Continued use of the Platform constitutes acceptance of the updated Terms.
