1. Acceptance of Terms
Welcome to CityChatt. These Terms of Service (“Terms”) constitute a legally binding agreement between you and CityChatt, Inc. (“CityChatt,” “we,” “us,” or “our”) governing your access to and use of the CityChatt mobile application, website, APIs, software, and related services (collectively, the “Service”).
By creating an account, accessing, browsing, downloading, installing, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.
If you are using the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Eligibility and Age Requirements
You must be at least 13 years of age, or the minimum age required to consent to digital services in your jurisdiction, whichever is higher, to use CityChatt. By using the Service, you represent and warrant that you meet the applicable age requirement.
We reserve the right to request proof of age and to suspend or terminate accounts that fail to satisfy eligibility criteria.
3. Description of the Service
CityChatt is a real-time, geographically organized communication platform that enables users to participate in city-based discussions, publish content, exchange messages, and interact within digital communities.
We may modify, improve, discontinue, or restrict access to features at any time. Certain features may be experimental, beta, AI-assisted, or regionally limited. We are not obligated to maintain or support any specific functionality.
4. Account Registration and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
You must immediately notify us of any unauthorized use of your account. We are not liable for losses resulting from unauthorized access unless caused by our gross negligence or willful misconduct.
We reserve the right to suspend, restrict, or terminate accounts that are inactive, fraudulent, misleading, impersonating others, or otherwise in violation of these Terms.
5. User Content Ownership and License
You retain ownership of all content you submit, post, transmit, or display through the Service (“User Content”). However, by providing User Content, you grant CityChatt a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display, analyze, process, and create derivative works from such content for the purposes of:
• Operating and maintaining the Service • Improving functionality and user experience • Moderating and enforcing policies • Conducting analytics and research • Developing and improving artificial intelligence systems • Promoting and marketing the Service
This license continues for as long as your content remains on the Service and for a reasonable archival period thereafter.
You represent and warrant that you have all rights necessary to grant this license and that your content does not infringe third-party rights.
6. Artificial Intelligence and Automated Systems
CityChatt uses automated systems, including artificial intelligence, machine learning, algorithmic ranking systems, and pattern-recognition tools, to operate and enhance the Service.
These systems may:
• Detect spam, fraud, and malicious activity • Identify policy violations • Rank or prioritize content • Recommend posts or threads • Improve geographic relevance • Analyze engagement patterns • Support safety investigations
We may use platform data, including user-generated content, metadata, behavioral signals, and contextual interactions, to develop, train, test, and improve AI systems. Where appropriate, we apply safeguards such as minimization, pseudonymization, aggregation, or de-identification.
Private messages are not used for AI model training except where necessary for abuse detection, legal compliance, enforcement, or platform integrity investigations.
You acknowledge that automated systems may make preliminary decisions affecting visibility, ranking, or account status. Where required by applicable law, users may request review of certain significant automated decisions.
7. Acceptable Use Policy
You agree not to use the Service to:
• Violate any law or regulation • Harass, threaten, abuse, or intimidate others • Post hate speech or incite violence • Engage in child exploitation or grooming • Impersonate another person or entity • Spread misinformation designed to cause harm • Conduct coordinated inauthentic behavior • Distribute malware, spyware, or harmful code • Attempt to hack, scrape, reverse engineer, or disrupt the Service • Infringe intellectual property rights • Operate bots or automated systems without authorization
We reserve the right to investigate and take appropriate action against violations, including content removal, demotion, temporary suspension, permanent termination, or referral to law enforcement.
8. Moderation and Enforcement Authority
CityChatt reserves broad discretion to moderate content and enforce these Terms. Moderation decisions may be supported by automated tools and human review.
We may remove or restrict content that we believe violates these Terms, applicable laws, or platform safety standards. We are not obligated to provide prior notice before enforcement actions.
In certain jurisdictions, users may have statutory rights to appeal or challenge significant moderation actions.
9. Community Integrity and Geographic Authenticity
Because CityChatt is geographically organized, users agree not to falsify location data, manipulate geographic signals, or engage in deceptive practices designed to misrepresent community presence.
We may use technical measures to verify location authenticity and prevent abuse of geographic features.
10. Intellectual Property Rights
All software, code, design elements, branding, trademarks, service marks, logos, trade dress, and proprietary technology associated with CityChatt are owned by or licensed to CityChatt.
You may not copy, reproduce, distribute, modify, create derivative works, reverse engineer, or commercially exploit any portion of the Service without prior written consent.
11. Paid Features and Monetization (If Applicable)
If CityChatt introduces paid subscriptions, digital goods, advertising services, or monetization programs, additional terms may apply. Fees, billing cycles, refunds, and payment processing policies will be disclosed at the time of purchase.
We reserve the right to modify pricing structures with reasonable notice.
12. Third-Party Services and Integrations
The Service may contain links to third-party websites, services, or content. We do not endorse or control third-party services and are not responsible for their content, privacy practices, or operations.
Your interactions with third parties are solely between you and those parties.
13. Disclaimers of Warranties
The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, statutory, or otherwise.
To the fullest extent permitted by law, CityChatt disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, data accuracy, or system security.
We do not guarantee that user-generated content will be accurate, lawful, or appropriate.
14. Limitation of Liability
To the maximum extent permitted by law, CityChatt and its affiliates shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, reputational harm, or business interruption.
Our total liability for any claim arising from the Service shall not exceed the greater of (a) the amount you paid to CityChatt in the preceding twelve months, or (b) one hundred U.S. dollars (USD $100), unless otherwise required by applicable law.
Some jurisdictions do not allow certain liability limitations; in such cases, limitations will apply to the fullest extent permitted.
15. Indemnification
You agree to indemnify, defend, and hold harmless CityChatt and its officers, directors, employees, contractors, and affiliates from any claims, liabilities, damages, losses, costs, or expenses arising from:
• Your use of the Service • Your violation of these Terms • Your violation of applicable law • Your infringement of third-party rights
16. Governing Law and Jurisdiction
Unless otherwise required by mandatory local law, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
If you are located in the European Union, United Kingdom, Canada, Australia, or other jurisdictions with mandatory consumer protections, you retain the rights afforded under applicable local consumer laws.
17. Dispute Resolution and Arbitration (U.S. Users)
For U.S.-based users, disputes shall be resolved through binding individual arbitration administered under recognized arbitration rules. You waive the right to participate in class actions or class arbitration.
This arbitration clause does not apply where prohibited by law.
18. Termination
You may terminate your account at any time. We may suspend or terminate access immediately if you violate these Terms, create legal risk, endanger other users, or engage in fraudulent or abusive conduct.
Upon termination, certain provisions survive, including intellectual property rights, indemnification, limitation of liability, dispute resolution, and governing law.
19. Export Controls and Sanctions Compliance
You agree to comply with all applicable export control laws and sanctions regulations. You may not use the Service if you are located in a country subject to comprehensive U.S. sanctions or are listed on any restricted party list.
20. Force Majeure
CityChatt is not liable for delays or failure to perform resulting from causes beyond our reasonable control, including natural disasters, cyberattacks, labor disputes, governmental actions, power failures, or infrastructure disruptions.
21. Changes to These Terms
We may revise these Terms periodically to reflect legal, technological, or business developments. Material changes will be communicated through the Service or by other reasonable means. Continued use after changes take effect constitutes acceptance.
